1. 1. Introduction
   • Welcome to Matrix Market, which is an all-in-one marketplace for you to explore, create and trade NFTs. Our Matrix Market is deployed and operated on the following website https://matrixmarket.xyz (the “Site”). You should read these Terms (the “Terms”) carefully before accessing and using the Service on Matrix Market. By accessing or using Matrix Market, the Site or the Service or otherwise indicating your consent, you agree to be bound by these Terms and the documents referred to in them. If you do not agree with or accept any of these terms, you should cease using Matrix Market, the Site or the Service immediately. If you have any questions about these Terms, please contact us via “contact us” button on the Site.
   • Definitions

     “Account” means your blockchain address which functions as your identity on Matrix Market. You will need a blockchain address and a third-party wallet to access Matrix Market.

     “Matrix Market” means the all-in-one marketplace for creators, collectors and traders operated by us via the Site.

     “NFT” means a non-fungible token or similar digital item implemented on a blockchain (such as the Flow blockchain), which uses smart contracts to link to or otherwise be associated with certain content or data.

     “Service” means all software, tools, features, or functionalities provided on or in connection with Matrix Market, including without limitation using our Matrix Market to view, explore, and create NFTs and use our tools, at your own discretion, to connect directly with others to purchase, sell, or transfer NFTs on public blockchains.

     “We”, “Us”, “Our” or “Company” means Matrix Labs Inc., a corporation existing under the laws of British Columbia, Canada whose registered office is at 422 Richards St. Suite 170, Vancouver BC V6B 2Z4 Canada.

     “You” or “Your” means the person accessing or using Matrix Market, the Site or its Service.

   • Accessibility.We seek to make Matrix Market as accessible as possible. If you have any problems accessing Matrix Market or the content contained on it, please contact us via “contact us” button on the Site.
   • Age Restriction. By using the Site, you represent and warrant that you are the legal age of majority under applicable law to form a binding contract with us and meet all of the foregoing eligibility requirements. If you are at least 13 years old but under the legal age of majority, you may use the Site through a parent or guardian’s Account provided that your parent or guardian approves and oversees your use. Your parent or guardian who owns the Account shall then be responsible for your actions using the Account. If you are under the age of 13, you are prohibited from using the Site, Matrix Market or its Service.
   • Modification. We reserve the right in our sole discretion to revise and update these Terms from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of Matrix Market or the Site. You agree to periodically review these Terms in order to be aware of any such modifications and your continued use shall be your acceptance of these.
2. 2. Matrix Market
   • Matrix Market is a marketplace, not a wallet provider, exchange, broker, financial institution, custodian, dealer or creditor. We are not responsible for the safekeeping of your NFTs or crypto assets you deal with through our market. You shall use a third-party wallet which allows you to engage in transactions on blockchains.
   • We provide services to help you discover, create or trade with each other NFTs available on public blockchains. As a facilitator, we charge a small fee (“Service Fee”) for each transaction completed in Matrix Market based on the rate published on our Site which we may adjust from time to time, and you acknowledge and agree to the payment of such Service Fee and hereby further agree and authorize us to directly deduct such fees from your account pursuant to the terms herein.
   • You understand and agree that we just provide you with the “venue” for trade and associated services, and as such we are not a party to any agreement or transaction between users, nor can we verify the identity or authenticity of any user acting in Matrix Market or any NFTs visible on Matrix Market. You shall assume full responsibility to verify the identity, legitimacy and authenticity of users you trade with or any NFTs (and any content attached to such NFTs).
   • Your purchase of NFTs on Matrix Market may be subject to terms and conditions imposed by sellers with respect to the use of the NFTs and benefits associated therewith. When you click the link to the NFTs, there may be additional information about such terms and conditions governing the use of the NFTs which you purport to purchase. It is at your sole responsibility and risk to investigate and review such terms and conditions when you buy NFTs on Matrix Market.
   • Similarly, by using the third-party wallet, you confirm that you are using that wallet under the terms and conditions of the applicable provider of the wallet. We do not have any control of any wallet provider nor do we have any control, custody or regulation on any NFTs or crypto assets they commit to keep and deal with for you. We are not responsible for, or accept liability to you in connection with your use of a wallet. It is at your sole responsibility and risk to safeguard your wallet credentials. If you discover any risk of compromising your wallet, please contact the wallet provider immediately. You shall immediately notify us if you discover or otherwise suspect any security issues related to Matrix Market or the Service or your Account via “contact us” button on the Site.
3. 3. Restrictions On Use
   • Matrix Market is for the use described above only. As a condition of your use of the Site or Matrix Market, you agree:
     • not to access content and data that is not intended for you;
     • not to use the Site or Matrix Market for any purpose that is unlawful under applicable law, or prohibited by these Terms;
     • attempt to breach the security and/or authentication measures which are not authorized;
     • not to access Matrix Market from a different blockchain address if we have blocked any of your other blockchain addresses from accessing Matrix Market due to your irregular acts;
     • not to distribute spam, including sending unwanted NFTs to others;
     • not to circumvent any rate limiting systems by using multiple API keys, not to direct traffic through multiple IP addresses, or otherwise obfuscate the source of traffic you send to Matrix Market;
     • not to engage in behaviors that have the effect of artificially changing or impacting the search results, or artificially increasing view counts, or improperly affecting the way that we sort or rank NFT products
     • not to use any unauthorized means to access or interact with Matrix Market, such as data mining, robot, spider, crawler, scraper, script, browser extension, offline reader, or other automated means or interface;
     • not to defame or disparage anybody or make comments of an obscene, derogatory or offensive manner or otherwise use Matrix Market or its Service in a way that brings us or any third party into disrepute or causes us to be liable to any third party;
     • not to reverse engineer, decompile, copy, modify, distribute, transmit, license, sublicense, display, revise, perform, transfer, sell or otherwise make available to any third party or otherwise publish, deep-link, create derivative works from or exploit in any way Matrix Market or its Service except as permitted by us under these Terms or as expressly provided under applicable law;
     • not to use Matrix Market to distribute viruses or malware or other similar harmful software code;
     • not to use data collected from Matrix Market for any advertising or direct marketing activity;
     • not use Matrix Market to engage in any financial activities subject to oversight by financial regulatory authorities, such as creating, selling, or buying securities, commodities, options, or debt instruments;
     • not to use Matrix Market to create, sell or buy NFTs for the purpose to undertake an ICO or any securities offering;
     • not to engage in price manipulation, fraud, or other deceptive, misleading or manipulative activity;
     • not to use Matrix Market to buy, sell, or transfer stolen items, fraudulently obtained items, or any other illegally obtained items;
     • not to represent or hold out that we endorse or are affiliated with any of your business, product or service, unless we have agreed with you separately in writing to do so
   • We reserve the right to prevent or suspend your access to Matrix Market or the Site if you do not comply with any part of these Terms or any applicable law.
   • We may require you to provide additional information and documents in certain circumstances, such as at the request of any government authority, as any applicable law or regulation requires, or to investigate a potential violation of these Terms. In such case, in our sole discretion, may disable your Account and block your ability to access Matrix Market until such additional information or documents are processed by us. If you fail to provide complete and accurate information in response to such request, we may refuse to restore your access to Matrix Market.
4. 4. Ownership, Use and Intellectual Property Rights
   • You understand and agree that Matrix Market and its entire content, features and functionality, including, but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by us or our licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.
   • Our name, Matrix Labs Inc., and the brand Matrix Market, as well as all related names, logos, product and service names, designs, images and slogans are trademarks of us or our affiliates or licensors. You must not use such marks without the prior written permission of us. Other names, logos, product and service names, designs, images, and slogans mentioned, or which appear on Matrix Market or any NFTs displayed on Matrix Market are the trademarks of their respective owners. Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.
   • All features, functions and programs deployed by us on Matrix Market, such as the statistics, ranking, virtual host or idol, have been developed by us with huge effort and cost, which shall always be owned by us and/or our licensors. We and our licensors reserve all our intellectual property rights (which include without limitation all copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world as to such features, functions or programs.
   • Nothing in these Terms grants you any rights in Matrix Market other than as necessary to enable you to access Matrix Market and undertake transactions permitted by it, subject to your compliance with these Terms. You agree not to adjust to try to circumvent or delete any intellectual property notices contained in Matrix Market or displayed on any NFTs appeared on Matrix Market and in particular in any digital rights or other security technology embedded or contained within any content in Matrix Market.
5. 5. Content Standards
   • The following content standards apply to any and all content, material, and information including any NFTs you post, publish, list or display on Matrix Market (collectively, “Content”). Any and all Content must comply with all applicable federal, provincial, local, and international laws, regulations, and terms of service.
   • Without limiting the foregoing, you warrant and agree that any Content you submit, post, publish, list or display on Matrix Market shall not:
     • In any manner violate any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy found at  https://matrixmarket.xyz/privacy.
     • In any manner violate the terms of use of any third-party website that is linked to the Site, including but not limited to, any third-party social media website.
     • Include or contain any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in our sole discretion.
     • Involve stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content or otherwise or ask for personal information as prohibited under applicable laws, regulations, or code.
     • Involve, provide, or contribute any false, inaccurate, or misleading information.
     • Impersonate or attempt to impersonate us, our employee, another user, or any other person or entity (including, without limitation, by using email addresses, or screen names associated with any of the foregoing).
     • Encourage any other conduct that restricts or inhibits anyone’s use or enjoyment of Matrix Market, or which, as determined by us, may harm us or users of Matrix Market or expose them to liability.
     • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, or harm any other person.
     • Give the impression that they originate from or are endorsed by us or any other person or entity, if this is not the case.
   • We allow users to post not safe for work (“NSFW”) content, on the condition that such content is marked NSFW and we may use certain measures to hide or dilute its appearance from search results. We reserve the right to disable any such content which we, in our discretion, deem inappropriate or that may cause disrepute to Matrix Market.
   • The Site is not a secure means of communication and any information you supply to us will not be kept confidential. For that reason, you should not submit or send to us any patentable ideas or patent applications, advertising or marketing suggestions, prototypes or any information, written or oral, which you regard as confidential or commercially sensitive or valuable (collectively referred to as “Unwanted Content”). While we value your feedback, you agree not to submit any Unwanted Content. Any feedback made to us is deemed to be our property. By transmitting or posting any feedback to us, you agree that, subject to our Privacy Policy, we are entitled to use any such information in any manner we see fit (including reproduction, transmission, publication, broadcast, and posting on any media and anywhere in the world) on a free of charge basis. We shall not be subject to any obligation of confidentiality nor be liable for any use and/or disclosure of such contents.
   • You represent and warrant that any Content you supply to us is and shall be your own original work and has been lawfully provided to us and that you have all necessary consents to provide this to us.
   • By using Matrix Market to create, submit, post or display Content, you hereby grant us a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display any Content you created, submitted, posted or displayed on Matrix Market.
6. 6. Reporting Claims of Copyright Infringement
   • We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement. If you believe any materials accessible on or from this Matrix Market infringe your copyright, you may request that we send a notice to the alleged infringer by submitting written notification to our contact person (designated below). The written notice (the “Notice”) must include the following:

     • Any other information that may be prescribed by regulation that we may advise you of from time-to-time.
   • The Notice may not contain any of the following:
     • An offer to settle the claimed infringement.
     • A request or demand relating to the claimed infringement for payment or for personal information.
     • A reference, including by way of hyperlink, to such an offer, request, or demand.
     • Any other information that may be prescribed by regulation that we may advise you of from time-to-time.

   • A Notice containing Prohibited Content will not be considered a valid Notice under these Terms.

   • Please be aware that if you knowingly materially misrepresent that material or activity on Matrix Market is infringing your copyright, you may be held liable for damages (including costs and legal fees, disbursements, and charges).

     If we receive a Notice in the prescribed form, we will, as soon as feasible, forward the Notice electronically to the person to whom the electronic location identified by the location data in the Notice belongs and inform you of our doing so. If, for some reason, it is not possible for us to forward the Notice to such person, we will confirm with you the reasons therefor.

   • Record Retention

     We will retain records of Notices in compliance with our obligations under applicable laws and regulations.

   • Removal of Materials or Disabling of Accounts

     Without limiting any other rights or remedies we may be entitled to under these Terms or otherwise at law, we reserve the right to remove any material or disable or terminate our users’ accounts or take such other actions deemed necessary or appropriate in the circumstances in our sole discretion.

   • Cooperation with Law Enforcement

     We have the right, without provision of notice to take appropriate legal action, including, without limitation, referral to law enforcement or regulatory authority of any illegal or unauthorized use of Matrix Market. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through Matrix Market.

   • YOU WAIVE AND HOLD HARMLESS US, OUR AFFILIATES, AND THE RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY US AND ANY OF THE FOREGOING PARTIES RELATING TO ANY, INVESTIGATIONS BY EITHER US OR SUCH PARTIES OR BY LAW ENFORCEMENT AUTHORITIES.
   • We have no obligation, nor any responsibility to any party to monitor Matrix Market or its use, and do not and cannot undertake to review material that you or other users submit to Matrix Market. We cannot ensure prompt removal of objectionable material after it has been posted and we have no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party, subject to applicable laws.
7. 7. Accuracy of Information and Availability of the Site
   • While we use reasonable efforts to include accurate and up-to-date information on Matrix Market, we do not represent, warrant or promise (whether expressly or by implication) that any information we publish on Matrix Market is or remains available, accurate, complete and up to date, free from bugs, errors or omissions or fit or suitable for any purpose.     • WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS, DAMAGE AND CLAIM RESULTING FROM OR IN CONNECTION WITH, IN ANY WAY, YOUR USE OF NFTS, CONTENT, AND/OR CONTENT LINKED TO OR ASSOCIATED WITH NFTS, INCLUDING BUT NOT LIMITED TO THE FOLLOWING EVENTS OR CIRCUMSTANCES : (A) USER ERROR, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED ADDRESSES; (B) SERVER FAILURE OR DATA LOSS; (C) UNAUTHORIZED ACCESS OR USE; (D) ANY UNAUTHORIZED THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTEFORCING OR OTHER MEANS OF ATTACK AGAINST MATRIX MARKET OR NFTS.
    • WE AND OTHER MATRIX MARKET PARTY CANNOT EFFECT OR OTHERWISE CONTROL THE TRNASFER OF TITLE OR RIGHT IN ANY NFTS OR UNDERLYING OR ASSOCIATED CONTENT OR ITEMS, NOR ARE WE ABLE TO REVERSE ANY TRANSACTION OR RETRIEVE THE NFTS OR ANY CRYPTO ASSET AFTER YOU HAVE TRANSFERRED TO ANOTHER USER ON BLOCKCHAIN.
11. 11. Beta Disclaimer
    • Please note that you are accessing the Beta Version of Matrix Market which is in the process of being tested before its official release. The sole purpose of this BETA Version is to conduct testing and obtain feedback.
    • Matrix Market does not give any warranties, whether express or implied, as to the suitability or usability of the website, its software or any of its content.
    • Matrix Market will not be liable for any loss, whether such loss is direct, indirect, special or consequential, suffered by any party as a result of their use of the beta website, its content and functionalities.

12. 12. Assumption of Risk

    You accept and acknowledge that:

    • Investing in NFTs entails certain risks and is speculative. Prices of NFTs are subject to significant market fluctuations which may result in loss of all or substantially all of your investment. You acknowledge and agree that you participate in the NFT transactions on Matrix Market for your personal interest and are fully aware of the risk of losing all your money expended in such transactions.
    • The regulatory regime governing blockchain technology, NFT and crypto-based items is evolving and there are significant uncertainties on the future regulatory policies and framework to be adopted by Canadian and foreign governments which may adversely affect the NFT business as well as the value of NFTs. You acknowledge that we do not guarantee that the business currently available on Matrix Market will be always available going forward.
    • You are solely responsible for any tax liability arising in any applicable jurisdiction in respect of your transactions on Matrix Market. We are not a participant to your transactions and will not assist you in dealing with your tax issues in connection with your transactions on the market.
    • There are risks of purchasing counterfeit items, mislabeled items, items that are vulnerable to metadata decay, items on smart contracts with bugs, and items that may become untransferable.
